PLATFORM TERMS AND CONDITIONS
WITH EXHIBIT 1 (RAIVEN PLATFORM SUBSCRIPTION AGREEMENT)
AND EXHIBIT 2 (AVENDRA SUPPLY CHAIN SERVICES AGREEMENT)
These Platform Terms and Conditions, together with the Exhibits attached hereto (collectively, the “Terms”), form a legally binding agreement between you, your company, and any affiliated entities you represent (collectively, “Customer,” “you,” or “your”) and Raiven, Inc. (“Raiven,” “we,” “us,” or “our”).
By clicking acceptance, executing an Order Form (as defined in the PSA), creating an account, accessing, or using the Raiven platform, software, procurement tools, integrations, or services (collectively, the “Platform”), you confirm that you have authority to bind Customer and agree to be legally bound by these Terms, inclusive of each Exhibit attached hereto.
2.1 Components. These Terms consist of:
Each Exhibit is attached to and incorporated into these Terms by reference.
2.2 Order of Precedence. The Raiven Terms are the controlling document. In the event of any conflict or inconsistency between the Raiven Terms and any Exhibit, the Raiven Terms shall control, followed by the PSA. Subject only to Sections 2.3, 3.2, and 3.3 of the Raiven Terms and Section 1(d) of the PSA (Order Form precedence), no provision of any Exhibit shall be construed to limit, expand, or otherwise modify the Raiven Terms.
2.3 Avendra Agreement. The Avendra Agreement is set forth in Exhibit 2 in the form approved by Avendra, LLC (“Avendra”). As more particularly set forth therein, upon acceptance by Avendra and commencement by Avendra of the Services (as defined in the Avendra Agreement), the Avendra Agreement shall be severable from these Terms and shall constitute a separate, legally binding agreement directly between Customer and Avendra. Notwithstanding Section 2.2, nothing in the Raiven Terms or the PSA amends, supplements, waives, or overrides any provision of the Avendra Agreement as between Customer and Avendra, and the Avendra Agreement shall govern exclusively with respect to Avendra Programs and the rights and obligations of Avendra. Section 2.2 applies to the provisions of the Avendra Agreement solely to the extent such provisions are incorporated into these Terms for purposes of Raiven Programs under Section 5.
2.4 Interpretation. Within each Exhibit, references to “this Agreement” refer to that Exhibit (including its schedules and exhibits), and references to the “Terms” refer to these Terms. Capitalized terms used but not defined in the Raiven Terms have the meanings given to them in the applicable Exhibit.
3.1 General Role. Raiven provides technology, procurement coordination, and supply chain enablement services. Except for Store Purchases under Section 3.2, Raiven does not manufacture, distribute, or sell products, and all product purchases occur directly between Customer and third-party suppliers.
3.2 Electrification Store. Raiven may make available to Customer, through the Platform, an online store through which Customer may purchase electrification and related materials directly from Raiven (the “Electrification Store”; products purchased through it, “Store Products”; and each such purchase, a “Store Purchase”). With respect to Store Purchases only, Raiven is the seller. All Store Purchases are governed exclusively by the Electrification Store Terms of Service posted at https://shop.raiven.com/policies/terms-of-service, as updated from time to time (the “Store Terms”), and not by these Terms. In the event of any conflict between these Terms and the Store Terms with respect to a Store Purchase, the Store Terms shall control.
3.3 White-Label Stores Excluded. Raiven may, under a separate written agreement, operate a store branded with Customer’s branding and linked to Customer’s website through which Customer’s own customers purchase products fulfilled by Raiven (a “White-Label Store”). White-Label Stores, and all purchases made through them, are governed exclusively by that separate white-label agreement and are not governed by these Terms, except to the extent such agreement expressly incorporates any provision of these Terms.
3.4 Relationship to Other Programs. Store Purchases are not purchases under Avendra Programs or Raiven Programs. Section 5 and the Avendra Agreement do not apply to Store Purchases.
4.1 Platform. Customer’s access to and use of Raiven’s quoting, purchasing, supplier and vendor management, and related services software (the “Raiven System” or “Platform”) shall be governed by the PSA attached as Exhibit 1, subject to these Raiven Terms. This Section 4 and the PSA apply to all of Customer’s use of the Platform, including to access Avendra Programs and Avendra’s Suppliers, Raiven Programs and Raiven Suppliers, Customer Suppliers (as defined in Section 4.4), and any other supplier arrangements made available through the Platform.
4.2 Raiven Assist. Raiven may provide administrative procurement coordination services (“Raiven Assist”) in connection with Customer’s use of the Platform. Raiven Assist services are facilitation services only and do not alter the buyer-seller relationship between Customer and Suppliers.
4.3 Order Transmission. Customer authorizes Raiven, when requested through the Platform, to transmit requests for quotes, purchase orders, or related procurement instructions and communications to Suppliers, Raiven Suppliers, or Customer Suppliers on Customer’s behalf. Customer remains solely responsible for all purchase obligations and payment to such suppliers.
4.4 Customer Suppliers. Customer may upload to the Platform information about suppliers with which Customer has its own independent relationship and which are not Suppliers under Avendra Programs or Raiven Suppliers under Raiven Programs (“Customer Suppliers”). The Platform may then transmit requests for quotes, purchase orders, and related instructions and communications between Customer and its Customer Suppliers. Section 4.5 applies to Customer Suppliers, and in addition:
(a) No Relationship. Raiven has no contract with, authority over, or governance of any Customer Supplier.
(b) Customer Responsibility. Customer is solely responsible for its relationship and any agreement with each Customer Supplier, and represents that it has all rights and consents necessary to upload Customer Supplier information to the Platform and to have Raiven transmit communications to such Customer Supplier on Customer’s behalf.
(c) Not a Program. Customer Suppliers are not part of Avendra Programs or Raiven Programs, and neither the Avendra Agreement nor Section 5 applies to transactions with Customer Suppliers.
(d) Supplier Onboarding. Customer agrees that Raiven may contact Customer Suppliers to invite them to join the Platform or Raiven Programs, provided that Raiven shall not disclose Customer’s pricing or other Customer-specific terms to any third party except as permitted under Section 7.
4.5 Platform as Conduit; Supplier Information. The following applies to all suppliers accessed through the Platform, including Suppliers under Avendra Programs, Raiven Suppliers under Raiven Programs, and Customer Suppliers (collectively, “Platform Suppliers”):
(a) Conduit Only. Although Raiven provides access to supplier programs, the Platform functions solely as a conduit for communications between Customer and Platform Suppliers. Raiven is not a party to, and has no responsibility for, any quote, order, or transaction between Customer and any Platform Supplier. Title to, possession of, and risk of loss for any products pass directly between the applicable Platform Supplier and Customer, and all orders, purchases, and sales transactions are entered into solely between Customer and the applicable Platform Supplier. Except for transactions in the Electrification Store, Raiven is not a seller, supplier, merchant, distributor, dealer, broker, agent, consignee, or other participant in the chain of distribution or stream of commerce for any products made available by Platform Suppliers. Raiven does not manufacture, design, test, certify, inspect, market, distribute, warehouse, store, transport, sell, resell, supply, deliver, install, maintain, repair, warrant, or support any products offered by Platform Suppliers.
Raiven assumes no responsibility or liability arising from or relating to any products, including any alleged defect in design, manufacture, labeling, packaging, instructions, warnings, performance, quality, safety, legality, regulatory compliance, shipment, installation, maintenance, recall, or use of any product.
(b) Supplier Information. All information provided by any Platform Supplier through the Platform, including pricing, product descriptions and specifications, availability, lead times, shipping and freight, and taxes (“Supplier Information”), is the sole responsibility of that Platform Supplier. Any issue, error, or discrepancy in Supplier Information shall be resolved solely between Customer and the applicable Platform Supplier.
(c) No Validation or Warranty. Raiven does not validate, verify, or warrant the accuracy, completeness, or timeliness of (i) any Supplier Information, (ii) any communication sent or received through the Platform, or (iii) any summary, comparison, recommendation, or other synthesis of Supplier Information generated by the Platform, including through artificial intelligence or other automated tools.
(d) Customer Validation. Customer is solely responsible for reviewing and validating the accuracy of all information sent or received through the Platform before relying on it or placing any order, and Customer represents and warrants that it is not relying on the Platform to determine product quality, safety, suitability, or compliance.
(e) Discretionary Assistance. Raiven may, in its discretion and without assuming any obligation or liability, assist Customer in addressing discrepancies with Raiven Suppliers.
5.1 Raiven Programs. Customer acknowledges that, in addition to Avendra Programs, Raiven may provide Customer access to supplier arrangements negotiated directly by Raiven (“Raiven Programs”) with manufacturers, suppliers, and distributors (“Raiven Suppliers”).
5.2 Incorporation by Reference. Except as otherwise expressly stated in these Raiven Terms, the terms, conditions, representations, warranties, disclaimers, indemnities, limitations of liability, default provisions, and general terms set forth in the Avendra Agreement (Exhibit 2), including its Schedule 1 (General Terms and Conditions) and Exhibit A (Program Bundles), are hereby incorporated by reference and shall apply mutatis mutandis to Raiven Programs and Raiven Suppliers, with the following substitutions:
Notwithstanding the foregoing, Sections 10 (Disclaimers and Limitation of Liability), 12 (Notices), and 13 (Governing Law and Disputes) of these Raiven Terms shall apply to Raiven Programs in place of the corresponding provisions of the Avendra Agreement. For clarity, Section 4 (Raiven Platform and Raiven Assist Services) and the PSA apply to all Raiven Programs in addition to the incorporated terms described herein, and, because Avendra Programs and Avendra’s Suppliers are likewise hosted on and accessed through the Platform, Section 4 and the PSA also apply to Customer’s use of the Platform and Raiven Assist in connection with Avendra Programs. Such application governs only Customer’s relationship with Raiven and does not amend or modify the Avendra Agreement, consistent with Section 2.3.
5.3 Independent Relationship. Raiven Programs are separate from Avendra Programs and do not create any agency, partnership, or joint venture between Avendra and Raiven.
5.4 No Modification of Avendra Agreement. Nothing in this Section 5 modifies or amends the Avendra Agreement. In the event of a conflict between this Section 5 and the Avendra Agreement, the Avendra Agreement shall govern solely with respect to Avendra Programs. In the event Customer declines to execute the Avendra Agreement, such Avendra Programs will not be available to Customer.
Customer acknowledges that Raiven is a for-profit entity and may receive rebates, administrative fees, allowances, marketing funds, incentives, or other compensation from Suppliers or manufacturers in connection with Customer’s purchases through Raiven Programs.
Such compensation may vary by supplier, product category, or program. Customer agrees that Raiven is not obligated to disclose the specific amount of compensation received from any Supplier unless otherwise required by law or expressly agreed in writing.
Nothing herein guarantees that pricing available through Raiven Programs will be the lowest available in the marketplace.
Customer acknowledges that access to and use of the Raiven Platform and related software is governed by the PSA attached as Exhibit 1, subject to these Raiven Terms. All rights, title, and interest in and to the Platform, including all related software, technology, documentation, enhancements, and improvements, remain with Raiven or its licensors as set forth in the PSA.
To the extent Customer participates in Raiven Programs or Avendra Programs, or transacts with Customer Suppliers, through the Platform, Customer authorizes Raiven to use aggregated and de-identified purchasing and usage data derived from such participation for analytics, benchmarking, supplier negotiations, program optimization, and commercial purposes, provided that such data does not identify Customer. Except as expressly provided herein or in the PSA, no ownership rights are transferred to Customer.
Customer agrees to:
Customer remains solely responsible for all purchase decisions, product specifications, and payment obligations to Suppliers, Raiven Suppliers, and Customer Suppliers.
Raiven may suspend or terminate Customer’s access to the Platform or Raiven Programs immediately upon:
Suspension of Platform access shall not relieve Customer of payment obligations to Suppliers, Raiven Suppliers, or Customer Suppliers for Products already ordered, or of any obligations under the Store Terms.
The disclaimers of warranties and limitations of liability set forth in Sections 5 and 6 of Schedule A to the PSA apply to all services provided by Raiven under these Terms, including the Platform, Raiven Assist, and Raiven Programs, and are not limited to the Platform. Except in its capacity as seller of Store Products under the Store Terms, Raiven is not a Supplier and is not responsible for the acts or omissions of any Supplier, Raiven Supplier, Customer Supplier, or Avendra, for any Supplier Information (as defined in Section 4.5), or for any Products purchased by Customer.
Raiven shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, supply chain disruptions, labor disputes, governmental actions, internet outages, cybersecurity incidents not caused by Raiven’s gross negligence, or failures of third-party service providers.
All legal notices, requests, and formal demands under the Raiven Terms or the PSA (excluding routine operational communications) must be in writing. Notices to Customer may be provided by Raiven via email to the primary email address associated with Customer’s account, in-platform notifications within the Raiven system, or overnight courier (with tracking delivery), and will be deemed given on the date sent or posted; provided that notices sent via overnight courier shall be deemed given upon confirmed delivery.
Notices to Raiven must be sent by email and by one additional method (courier or certified mail) to: Raiven, Inc., Attn: Legal Department, Email: [email protected], 100 Spectrum Center Drive, Suite 870, Irvine, CA 92618. Notices to Raiven will be deemed given upon actual receipt.
Notices relating to the Avendra Agreement shall be given as provided therein. Customer is responsible for keeping its account contact information current.
Except with respect to the Avendra Agreement, which is governed by its own terms, these Terms shall be governed by the laws of the State of California and controlling United States federal law, without regard to the choice or conflicts of law provisions of any jurisdiction, and any dispute arising out of or in connection with these Terms shall be brought in the venue specified in Section 16 of Schedule A to the PSA.
14.1 Electronic Acceptance. These Terms are accepted by Customer through electronic means, including by clicking an acceptance button, checking an acceptance box, executing an Order Form which references these Terms as the governing agreement between the parties, or otherwise indicating assent through the Platform. Customer agrees that its electronic acceptance has the same legal effect as a handwritten signature and that no physical signature or paper counterpart is required. Raiven’s records of electronic acceptance, including associated timestamps and account information, shall be deemed conclusive evidence of Customer’s agreement to these Terms, absent manifest error.
14.2 Changes to These Terms. Raiven may update the Raiven Terms and the PSA from time to time by providing at least thirty (30) days’ notice to Customer in accordance with Section 12. Customer’s continued use of the Platform after the effective date of any such update constitutes acceptance of the updated terms. No such update shall change the fees, Subscription Term, Authorized Locations, or Subscribed Services set forth in an executed Order Form during its then-current Subscription Term. The Avendra Agreement may be modified only in accordance with its own terms.
14.3 Entire Agreement. These Terms, including the Exhibits, constitute the entire agreement between Customer and Raiven regarding their subject matter and supersede all prior or contemporaneous understandings regarding such subject matter. No text or information set forth on any purchase order, preprinted form, or other Customer document shall add to or vary these Terms.
14.4 Severability; Waiver. If any provision of the Raiven Terms is held invalid or unenforceable, such provision shall be construed, as nearly as possible, to reflect its intent, and the remaining provisions shall remain in full force and effect. The failure of Raiven to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Raiven in writing.
14.5 Survival. Sections 3.3, 4.5, 6, 7, 10, 12, 13, and 14, and any other provisions of these Terms that expressly or by their nature should survive, shall survive any termination or expiration of these Terms.
This Platform Subscription Agreement (the "Agreement") is made and entered into as of the date Customer accepted the Terms by Raiven, Inc., a Delaware corporation, with offices located at 100 Spectrum Center Drive, Suite 870, Irvine, California 92618 (“Raiven”) and Customer. This Agreement is attached as Exhibit 1 to, and forms part of, the Raiven Platform Terms and Conditions (the “Terms”). In the event of any conflict between this Agreement and the Raiven Terms (as defined in the Terms), the Raiven Terms shall control.
(a) Order Form. Raiven and Customer will execute an order form (each, an “Order Form”) that specifies: (i) the legal entity that is the Customer under this Agreement; (ii) the branches or locations at which Customer’s employees are authorized to use the Platform (“Authorized Locations”); (iii) all fees payable by Customer, including one-time setup fees and recurring fees, and the applicable payment schedule; (iv) the subscription term (the “Subscription Term”); and (v) the specific services and functionality included in Customer’s use of and access to the Platform (the “Subscribed Services”).
(b) Incorporation. Each Order Form becomes part of this Agreement and of the Terms upon signature by Customer, which may be by electronic signature. Customer’s obligations under an Order Form are binding upon such signature.
(c) Payment Link and Activation. Following Customer’s execution of an Order Form, Raiven will send Customer a payment link to collect payment of the amounts due under the Order Form. No rights to access or use the Platform or the Subscribed Services are granted to Customer until Customer has completed payment through the payment link. Customer’s payment further confirms Customer’s acceptance of all obligations set forth in the Order Form. In the event of any discrepancy between the payment link (or any invoice or payment page) and the Order Form, the Order Form shall govern.
(d) Order Form Precedence. In the event of any conflict between an Order Form and this Agreement or the Raiven Terms, the Order Form shall control solely with respect to the identity of Customer, the Authorized Locations, fees and payment schedule, the Subscription Term, and the Subscribed Services. In all other respects, the Raiven Terms and this Agreement shall control.
(e) Changes. Use of the Platform at any additional location, or of any additional services or functionality, requires a new or amended Order Form and may be subject to additional fees.
2. Authorized Users.
(a) Customer shall designate the Authorized Users who shall be given access to the Platform; provided, however, that all Authorized Users must be employees of the Customer entity identified in the Order Form who work at or for an Authorized Location.
(b) Subject to the terms, limitations, and conditions of this Agreement, Raiven grants Customer and its Authorized Users a subscription to use the Subscribed Services solely at and for the Authorized Locations, for Customer’s own internal business purposes and in conjunction with the Suppliers.
(c) Technical Support is available to Customers at (888) 272-0090 or at the following email address: [email protected].
3. Term.
(a) The Subscription Term begins on the date Raiven activates Customer’s access following receipt of payment through the payment link (or such other start date as is stated in the Order Form) and continues for the period stated in the Order Form. Unless otherwise stated in the Order Form, the Subscription Term shall automatically renew for successive twelve (12) month periods unless either party gives written notice of non-renewal at least sixty (60) days before the end of the then-current Subscription Term. The term of this Agreement continues for so long as any Subscription Term is in effect (the “Term”).
(b) Unless the Order Form expressly identifies the Subscription Term as month-to-month, any monthly payment schedule set forth in an Order Form is an accommodation by Raiven to spread payment of the total fees for the Subscription Term over that term, without interest, and does not create a month-to-month term or any right to terminate for convenience. Customer is obligated to pay all fees for the full Subscription Term.
(c) Either party may terminate this Agreement for “Cause” (i) if the other party breaches any material term of this Agreement and fails to cure such breach within thirty (30) days after delivery of notice of such breach; or (ii) immediately upon notice if the other party (A) is in breach of any of its obligations with respect to confidentiality, or misuse or infringement of the Intellectual Property Rights of the other; or (B) is subject to any events of insolvency, any form of voluntary or involuntary insolvency administration or liquidation, or entering into a scheme, proceeding, or (C) voluntary arrangement with its creditors for partial discharge of indebtedness.
(d) Neither party may terminate this Agreement for convenience during a Subscription Term. If this Agreement is terminated for any reason other than by Customer for Raiven’s uncured material breach under Section 3(c), all unpaid fees for the remainder of the then-current Subscription Term shall become immediately due and payable. If Customer terminates for Raiven’s uncured material breach under Section 3(c), Raiven will refund any prepaid fees attributable to the period after the effective date of termination.
4. Fees and Payment.
(a) Customer shall pay all setup fees, recurring fees, and other amounts set forth in the Order Form in accordance with the payment schedule stated therein. Customer authorizes Raiven to charge the payment method provided through the payment link for all scheduled payments.
(b) Fees are fixed for the Subscription Term stated in the Order Form. Raiven may adjust fees for any renewal Subscription Term by providing Customer at least thirty (30) days’ notice before the start of such renewal term.
(c) Except as expressly provided in this Agreement, all fees are non-refundable. Fees are exclusive of applicable sales, use, and similar taxes, which Customer shall pay in addition to the fees, excluding taxes based on Raiven’s net income.
(d) If any payment is not made when due, Raiven may suspend access to the Platform in accordance with Section 9 of the Raiven Terms, and all fees shall remain due and payable.
5. License Terms and Conditions. Customer, on behalf of itself and the Authorized User, agrees to the License Terms and Conditions set forth on Schedule A to this Agreement.
(a) By Raiven. Raiven shall indemnify and hold Customer, its parent, subsidiaries, affiliates, officers, directors and employees, harmless from and against all costs, damages, losses, liabilities and expenses (including reasonable legal fees and costs) to the extent arising out of or in connection with any third party claim (collectively “Claims”) alleging that the Platform infringes on a United States patent held by the third party making the Claim. Notwithstanding the foregoing, if in Raiven’s sole discretion and opinion, the Platform is likely to, or does, become the subject of a claim for patent infringement, Raiven may, at its sole option, procure for Customer the right to continue using the Platform or modify it to become non-infringing. If Raiven is not reasonably able to modify or otherwise secure Customer the right to continue using the Platform, Raiven shall suspend access to the Platform and refund Customer the amounts actually paid under the subscription term. Raiven shall not be liable for any infringement or claim based upon: (i) the combination or incorporation of the Platform with other software products not supplied by Raiven, to the extent that the infringement results from such combination or incorporation of the Platform; (ii) the modification of the Platform by Customer which is not contemplated by this Agreement or authorized by Raiven; (iii) Customer’s negligence or willful misconduct; or (iv) any use by Customer of the Platform in violation of this Agreement. This Section 7 sets forth Raiven’s sole liability and Customer’s sole and exclusive remedy with respect to any claim of intellectual property infringement. Customer shall indemnify and hold Raiven, its parent, subsidiaries, affiliates, officers, directors and employees, harmless from and against all costs, damages, losses, liabilities and expenses (including reasonable legal fees and costs) to the extent arising out of or in connection with any third party claim (also collectively “Claims”) (1) alleging that the use of Platform and/or the Customer Data in the operations of Customer’s business infringes any law in the United States, (2) resulting from a breach of this Agreement by Customer.
(b) By Customer. Customer shall indemnify and hold Raiven, its parent, subsidiaries, affiliates, officers, directors and employees, harmless from and against all costs, damages, losses, liabilities and expenses (including reasonable legal fees and costs) to the extent arising out of or in connection with any third party claim (collectively “Claims”) alleging any negligence, personal injury, property damage, breach of contract, breach of warranty or products liability arising out of Customer’s purchase or use of any Products. For the avoidance of doubt, “third parties” shall include but not be limited to Customer’s employees, independent contractors, subcontractors, agents, and customers.
AVENDRA SUPPLY CHAIN SERVICES AGREEMENT
(Raiven Contractor Online SCSA)
This Avendra Supply Chain Services Agreement (this “Agreement”) is entered into between Avendra, LLC, a Delaware limited liability company with an address at 540 Gaither Road, Suite 200, Rockville, Maryland 20850 (“Avendra”), and the company or legal entity accepting these Terms through the Raiven platform (“Customer”), acting for itself and on behalf of its subsidiaries and Affiliates, as defined below, collectively as the context dictates.
For purposes of this Agreement:
Customer represents that the individual accepting this Agreement, through the Platform or other Raiven enrollment process, has authority to bind Customer to the terms set forth herein for the benefit of Avendra and Raiven, as applicable.
Customer authorizes and directs Raiven to provide the foregoing information, including a copy of this Agreement together with evidence of Customer’s acknowledgment of acceptance of this Agreement, to Avendra; it being acknowledged and agreed that Avendra shall not be required commence the Services (as defined in this Agreement) until Avendra acknowledges receipt of the same.
Customer purchases and/or provides goods and services in connection with the building trades, facility maintenance, equipment retrofits, service and maintenance, cleaning, construction, management, operation and/or servicing of certain client locations, defined as Properties below. Avendra has entered into supply arrangements (“Avendra Programs”) with manufacturers, suppliers and distributors (“Suppliers”) of goods, equipment, supplies and services (collectively, the “Products”) on terms negotiated by Avendra. Under the terms of this Agreement, Avendra shall provide Customer with access to the Avendra Programs in order to purchase Products for the Properties from Avendra’s Suppliers (the “Services”).
2. Supply Chain Access and Related Issues.
(a) Each individual Avendra Program is classified under one of the several broad bundles of programs set out in Exhibit A to this Agreement. Customer shall be entitled to purchase Products offered through the individual Avendra Programs which are included within the program bundles on Exhibit A (“Program Bundles”).
(b) Throughout the Term, Customer shall use its best efforts to purchase from Suppliers at least a preponderance of the Products required by the Properties, which meet the form, fit, and function (the “Specifications”) required by Customer and the Properties.
3. Information Sharing and UsageBy and Between Raiven and Avendra.
Customer authorizes Raiven to release to Avendra such information concerning Customer and the Properties as may be reasonably necessary for Avendra to perform its obligations in provisioning supplier access under its agreement with Raiven. In addition, Customer authorizes Avendra to release to Raiven Customer and/or Property data obtained by Avendra in the course of its performance, despite the fact that such information may be deemed confidential information pursuant to Customer’s subscription agreement with Raiven.
4. Avendra Program Access, Etc.
(a) Information regarding how to access the Suppliers and the Products available under individual Avendra Programs is available through the supply chain software solutions made available through the Raiven Platform, or its replacement, if applicable, as established by Avendra. Customer access to Avendra Programs is subject to Customer compliance with the applicable terms and conditions and the availability of the Products from Suppliers.
(b) As part of an on-going continuous improvement program, and in order to maintain its customer value, Avendra updates and modifies, as required, the terms and conditions of the Avendra Programs, the Products offered under the same and, in some cases, substitutes existing Suppliers with new manufacturers, suppliers or distributors. Avendra will use commercially reasonable efforts to notify Customer of any such changes likely to have a material impact on Customer’s operations.
5. Relationship with Suppliers.
The relationship between Customer and Suppliers shall be that of buyer and seller. Customer agrees that the Suppliers have the sole responsibility for performing the sale of Products, and any and all Product warranties and other representations are made by Suppliers directly to Customer. Avendra is not a Supplier and does not guarantee the performance of any Supplier or Product and Customer’s exclusive remedy in case of a Supplier’s failure to perform or an issue or claim arising out of the Products shall be solely against Supplier. Customer shall be responsible for establishing its own creditworthiness with each Supplier and shall be exclusively liable to Supplier for payment when due of the invoice price for all Products sold to Customer. Customer shall complete, execute and promptly return to Avendra the appropriate “Standard Credit Applications”, copies of which are available on request, which shall be made available to Suppliers to assess and establish Customer creditworthiness. Customer understands that its failure to complete, execute and promptly return the appropriate Standard Credit Application may result in limitations on or the denial of credit offered by Suppliers to Customer.
6. Term.
Subject to acceptance by Avendra, the term of this Agreement shall (a) commence on the Effective Date and remain in effect for a period of two (2) years thereafter (the “Initial Term”), and (b) shall renew automatically for successive renewal terms of one (1) year each (collectively with the Initial Term, the “Term”), commencing on the day following the expiration of the Initial Term or any anniversary thereof, unless either Customer or Avendra signifies its intent not to so renew by notice given to the other and Raiven in accordance with the Notice section of this Agreement, provided not less than sixty (60) days prior to the end of the then-current Term. Notwithstanding the foregoing to the contrary, at the end of the first six (6) months of the Initial Term (the “Trial Period”), either Customer or Avendra during the sixty (60) day period immediately following the Trial Period may elect to terminate this Agreement by notice given to the other and Raiven in accordance with the Notice section of this Agreement, at no cost or penalty.
7. Agreement General Terms and Conditions.
Customer, on behalf of itself and the Properties, agrees to the Avendra Supply Chain Services Agreement General Terms and Conditions set forth on Schedule 1 to this Agreement and incorporated by reference as if fully set forth herein in their entirety.

Customer represents, warrants, and acknowledges the following:
(a) Customer has full power and authority, and has been duly authorized, on behalf of itself and the Properties, to enter into and perform its obligations under this Agreement. Customer shall notify Avendra in writing in advance of any changes (a) in ownership of Customer; or (b) of its authority to make procurement decisions on behalf of the Properties;
(b) as of the Effective Date, Customer is not an Avendra customer and it is not otherwise participating, or entitled to participate, in any Avendra Programs as a result of a contractual relationship with any other Avendra customer;
(c) Customer understands that a multitude of factors beyond the control of Avendra and/or of a promoter introducing Customer to Avendra (a “Promoter”) will factor into the Customer’s actual cost reductions or savings resulting from Customer’s purchases from Suppliers. 5. Default.
This Agreement may be terminated, in addition to other remedies at law or equity, by the non-defaulting party on five (5) business days prior notice to the defaulting party if the defaulting party fails to perform a material term hereof, including without limitation compliance by Customer with applicable Avendra Program terms and conditions communicated to Customer, and the same is not cured within thirty (30) days after notice from the non-defaulting party to the defaulting party specifying the nature of such failure. Notwithstanding the foregoing to the contrary, Avendra may immediately terminate this Agreement in the event of a breach by Customer of any of the representations, warranties or acknowledgements contained in Section 3, above. Neither party shall be liable to the other for failure to perform caused by force majeure.
6. Indemnification.
Customer shall indemnify, defend and hold Raiven, Avendra, their parents, subsidiaries, affiliates, officers, directors and employees, harmless from and against all costs, damages, losses, liabilities and expenses (including reasonable legal fees and costs) to the extent arising out of or in connection with any third party claim (collectively “Claims”) resulting from a breach of this Agreement by Customer or the failure of any Customer representation or warranty provided hereunder.
7. Assignment.
Customer shall not assign or delegate this Agreement, any claims for money damages arising hereunder, any part of Customer’s duties and responsibilities hereunder, and/or any rights or obligations hereunder without the prior written consent of Avendra, and any purported such assignment or delegation lacking such consent is void. Notwithstanding the foregoing, either party shall have the right to pledge payments due hereunder for bona fide financing purposes or to assign this Agreement to any of the assigning party’s affiliates or to a successor entity in the event of a merger, reorganization, sale of substantially all assets or other material change of ownership involving such assigning party. The assigning party shall notify the other party of any such assignment within thirty (30) days from the effective date thereof.
8. Waiver; Entire Agreement
No waiver of any breach or default of the terms hereof shall (a) be effective unless in writing and agreed to by the waiving party, or (b) constitute a waiver of any other or further breach or default hereof.
This Agreement, together with all schedules and exhibits, (i) constitutes the entire understanding between the parties as to the subject matter hereof and supersedes all prior and contemporaneous understandings of the parties relating to such subject matter, and (ii) may not be modified except by a written agreement, which may include electronic acceptance or acknowledgment, agreed to by the parties.
For clarity, electronic records, electronic communications, and electronic acceptances shall be deemed writings for purposes of this Section.
9. Survival.
All obligations, rights and benefits under this Agreement that have accrued, but have not yet been fully performed or paid, as of the time immediately preceding the expiration or termination of this Agreement, shall survive such expiration or termination until fully performed. The provisions of this Agreement that are necessary for the full enjoyment and enforcement of the obligations, rights and benefits of this Agreement accruing prior to such expiration or termination shall survive such expiration or termination.
10. Miscellaneous.
All disputes arising out of this Agreement shall be determined pursuant to the laws of the State of New York, without giving effect to its principles of conflicts of laws. For purposes of determining such disputes, each party may bring a legal action or proceeding exclusively in and irrevocably submits to the exclusive jurisdiction of (i) the Courts of the State of New York (the “State Courts”), and (ii) if federal jurisdiction exists, the United States District Court for the Southern District of New York (the “Federal Court”), it being understood, however, that judgments, orders, or decrees by or from the State Courts or the Federal Court may be appealed to or enforced in any competent court. Each party waives, to the fullest extent permitted by law, (A) any objection that it may now or later have to the laying of venue of any legal action or proceeding arising out of or relating to this Agreement in the State Courts or the Federal Court, and (B) any claim that any action or proceeding brought in any such court has been brought in an inconvenient forum. THE PARTIES HEREBY WAIVE THEIR RESPECTIVE RIGHTS TO A JURY TRIAL OF ANY AND ALL CLAIMS OR CAUSES OF ACTION BASED UPON OR ARISING OUT OF THIS AGREEMENT.
